1. Introduction

Welcome to Wildroot Outdoor Services, LLC ("Company", "we", "our", "us"). These Terms and Conditions ("Terms") govern your engagement with our landscaping, tree‑service, fence, drainage, erosion control, hydroseeding, sod and other outdoor space services ("Services"). By hiring us, you ("Client", "you", "your") agree to these Terms. If you disagree, please do not proceed with our Services.

2. Scope of Services

We provide a range of outdoor services including landscape and garden design, drainage and erosion control solutions, hydroseeding, sod installation, tree services, fencing, seasonal maintenance, and Christmas lighting installations as outlined in your proposal or invoice. Any additional work not specified may require a new agreement and additional fees.

3. Client Responsibilities

You agree to:

Provide accurate and timely information and access to the site for us to perform Services.

Respond promptly to requests for approvals, decisions, or materials.

Ensure your site complies with all applicable permits, zoning, and utility requirements.

Use our Services only for lawful and intended purposes.

4. Fees and Payments

Fees are listed in your estimate, proposal, or invoice.

Payment terms—due date, deposit, installment schedule—are defined in your proposal.

Late payments may incur interest or suspension of Services until paid.

Unless otherwise agreed, fees are non‑refundable once work has commenced.

5. Intellectual Property

Any designs, plans, or creative materials we produce remain our property until payment in full is received.

Once fully paid, you obtain a non-exclusive license to use deliverables for your project only.

You warrant that any materials, plans, or designs you provide do not infringe third-party rights.

6. Confidentiality

Both parties agree to keep all confidential information shared during our work private and not disclose it without written consent, unless required by law.

7. Warranties and Disclaimers

We aim for high quality and client satisfaction, but we do not guarantee specific outcomes (e.g., plant survival, absolute erosion resolution) unless stated in writing.

We are not responsible for delays or failures arising from factors outside our control: weather, client delays, regulatory approvals, or utility interference.

8. Limitation of Liability

To the maximum extent allowed by law, our liability for claims related to these Terms or our Services is limited to the total amount you paid us in the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

9. Termination

Either party may terminate this agreement with written notice if the other party breaches a material term and fails to cure it within ten (10) days. Upon termination, you're responsible for all fees accrued through the termination date.

10. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflicts of law rules.

11. Changes to Terms

We may revise these Terms from time to time. Updated versions will take effect upon posting to our website or upon written notice (e.g., via email or updated proposal).
